Terms of Service

Draft. These Terms are a working draft published for transparency ahead of public launch. They will be reviewed by counsel and the final version may differ. Until then, the binding agreement is the order form or invitation email signed with EzRent.

1. Who these Terms are between

These Terms of Service ("Terms") form the agreement between EzRent Kenya Ltd("EzRent", "we", "us") and the organisation or individual ("Customer", "you") that accesses our platform at ezrent.co.keand any related applications and APIs (collectively, the "Service"). By creating an account, accepting an invitation, or using the Service, you agree to be bound by these Terms.

2. The Service

EzRent is a property-operations platform for Kenyan landlords and property managers. It supports rent invoicing, M-Pesa and bank reconciliation, tenant communications, maintenance workflows, KRA eTIMS receipts, and reporting. Specific features available to you depend on your subscription plan.

3. Accounts and access

EzRent is currently invite-only. You are responsible for keeping account credentials confidential, for activity that occurs under your account, and for ensuring that anyone you grant access to (managers, accountants, agents) complies with these Terms. You must notify us promptly at demo@ezrent.co.keof any suspected unauthorised access.

4. Acceptable use

You agree not to:

  • Use the Service to collect payments you are not legally entitled to collect;
  • Upload content that is unlawful, infringing, defamatory, or that misrepresents tenant arrears or eviction status;
  • Reverse-engineer, scrape, or attempt to bypass rate limits, access controls, or audit logs;
  • Use the Service to harass tenants, send spam communications, or process special-category personal data (e.g. health, biometric, political affiliation) without a lawful basis;
  • Re-sell, sublicense, or expose the Service to third parties as your own.

5. Fees, billing and taxes

Subscription fees are billed monthly in advance in Kenyan Shillings (KSh). The amount and plan in effect are those set out in your invitation email, order form or in-app billing screen. Fees are exclusive of VAT and any applicable withholding tax, which will be added where required by law. Payment is due within 14 days of the invoice date unless agreed otherwise. We may suspend the Service for accounts more than 30 days overdue, after notice.

Third-party fees (M-Pesa transaction fees, SMS, KRA filing levies, bank charges) are not part of the EzRent subscription and are passed through at cost or borne directly by you under your agreements with those providers.

6. Customer Data and ownership

You retain all rights to the data you and your users put into the Service ("Customer Data"), including tenant records, lease documents, photos, and ledger entries. You grant EzRent a limited licence to host, process, and display Customer Data solely to operate the Service for you. We act as your data processor for personal data within Customer Data; see our Privacy Policy and Data Protection statement.

7. Data export and portability

At any time during your subscription, and for 30 days after termination, you can export your Customer Data as CSV (ledger, tenants, leases, invoices, payments) and download original uploaded documents. After 30 days, we will delete or anonymise Customer Data on a schedule consistent with our Privacy Policy and applicable law.

8. Service availability

We design for high availability but do not currently publish a contractual SLA. Planned maintenance will be communicated in advance. EzRent depends on third-party services (Safaricom Daraja, KRA eTIMS, payment networks); their outages may impact the Service through no fault of ours.

9. Confidentiality

Each party will protect the other's confidential information using the same degree of care it uses for its own (no less than reasonable care), and will use it only to perform under these Terms.

10. Intellectual property

EzRent and our licensors retain all rights, title and interest in the Service, including software, designs, trademarks, and documentation. You receive a non-exclusive, non-transferable right to use the Service during your subscription.

11. Disclaimers

EzRent is not a tax adviser, lawyer, escrow agent, or financial institution. Reports generated by the Service (including KRA-aligned summaries) are informational and must be reviewed by qualified professionals before filing. The Service is provided "as is"; to the maximum extent permitted by law, we disclaim implied warranties of merchantability, fitness for purpose, and non-infringement.

12. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special or punitive damages, or for loss of profits, revenue, goodwill, or data. Each party's aggregate liability under these Terms is capped at the fees paid or payable by you to EzRent in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by law.

13. Term and termination

The agreement starts when you first access the Service and continues until either party terminates. You may cancel at any time from within the platform or by writing to us; cancellation takes effect at the end of the current billing period. We may terminate for material breach (including unpaid fees, prohibited use, or compromise of tenant safety) after written notice and a 14-day cure period, or immediately if cure is not possible.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email and in-app at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of Kenya. The parties will attempt in good faith to resolve any dispute within 30 days of written notice. Failing resolution, the dispute will be submitted to the courts of Nairobi, Kenya, which the parties accept as having exclusive jurisdiction.
